This is a precedent for system integration, which is intended to be used when a customer assigns a vendor to provide an integrated solution that works in the customer`s IT environment. It includes the purchase, supply and installation of hardware and software, the provision of development and integration services, acceptance tests, as well as the provision of additional services such as maintenance and/or customer staff training for the use of the solution. The agreement is drafted with a favourable bias to the customer, particularly with regard to guarantees, allowances, liability and termination. This practice note discusses the impact and evolution of the fair deal guidelines (Fair Deal 2013) adopted on October 4, 2013 on outsourcing contracts involving central government public bodies. In particular, it covers the context and scope of the protection of the 2013 Fair Agreement, how the 2013 Fair Deal protects future public and public sector services, the main differences between the old fair deal and the fair deal of 2013, the rights of workers in the new tender, mass transfers to public service and continuity of pension service in public services, participation agreements, contribution rates and exit payments, as well as the principles of good practice in rents. This practical note examines the possibilities of terminating a distribution agreement, including the right to terminate a distribution agreement under a generalized right of termination, in the event of violation or termination under the specific provisions of the distribution contract regarding termination. Guidelines for termination in the event of a breach of contract and effective termination of a distribution contract are provided. In addition, this notice of practice takes into account the types of termination rights that may be included in a written distribution agreement, what happens at the time of termination and continuation of outstanding commitments after termination, including confidentiality obligations and termination restrictions.
